National Fertilizers Limited (NFL), a Navratna PSU, has announced its participation in a newly incorporated joint venture company, Assam Valley Fertilizer and Chemical Company Limited (AVFCCL), aimed at setting up the Namrup IV Ammonia-Urea Complex in Assam.
AVFCCL was incorporated on July 25, 2025 as a public limited company with an authorised capital of ₹10 crore (~$1.15 million) and paid-up capital of ₹10 lakh (~$11,530). This multi-stakeholder joint venture features equity participation in the ratio 40:18:18:13:11 among the Government of Assam (GoA), NFL, Oil India Ltd (OIL), Hindustan Urvarak & Rasayan Ltd (HURL), and Brahmaputra Valley Fertilizer Corporation Ltd (BVFCL) respectively.
NFL has subscribed to 18,000 equity shares at ₹10 each, amounting to an investment of ₹1.8 lakh (~$2,080), securing an 18 per cent stake in AVFCCL. The project is expected to be mechanically completed and commissioned within 48 months from the zero date, according to NFL’s NSE filing.
The JV aligns with the Indian government’s agenda to revitalise the domestic fertiliser sector and reduce import dependence. Regulatory approvals are being coordinated through the Department of Fertilizers, Ministry of Chemicals and Fertilizers.
The Namrup IV Fertilizer Plant, to be located in Assam, will significantly boost urea and ammonia production capacity in India’s North-East, revitalising the region’s industrial base. NFL’s investment is in line with its core operations in the fertiliser sector, with no related-party concerns involved in the transaction.
