Maidenform merger plan escapes mandatory waiting period

Maidenform Brands, Inc. announced that it has been notified by the Premerger Notification Office of the Federal Trade Commission of the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR Act”) applicable to the proposed merger of Maidenform and a wholly owned subsidiary of Hanesbrands Inc..

The early termination of the waiting period satisfies the condition to the completion of the proposed merger relating to the expiration or termination of any applicable waiting period under the HSR Act.

The proposed merger remains subject to approval by the stockholders of Maidenform, as well as other customary closing conditions. As previously disclosed, Maidenform’s special meeting of stockholders to vote on the merger will be held on Thursday, October 3, 2013.
